    Mergers and acquisitions (M&A) are transactions through which one company joins another. An M&A transaction is a rather broad term and may encompass one business purchasing another, a change of control, reorganization, equity financing, creation of a joint venture (JV) or a special purpose vehicle (SPV).

    Due diligence is a procedure of extensive assessment of an asset,  which includes investigation of investment risks, independent valuation, and comprehensive assessment of the asset’s financial well-being and position on the market.

    Due diligence is usually conducted before an acquisition, merger, signing a potential deal or a partnership agreement.

    A troubled (or distressed) asset is a non-productive asset which brings no profit to the owner.

    Such an asset may be in financial distress and losing its liquidity, it may have liens, debt and encumbrances, may be struggling with marketing, technological and other problems.

    The owner of a troubled asset may suffer losses and face other kinds of risks.

    A non-core (or incidental) asset is an asset considered peripheral to the strategic goals of the business owner.

    On average, it takes about 1-2 years to see a qualitative change in the project. The first 6 months are the most difficult.

    A project package involves its presentation and presale preparation. It is meant to show the project’s potential to the prospective investors.

    In any case, we never leave projects halfway and always see them through to the end. There are projects that we have been supporting for over 10 years.

    The cost of each project is calculated individually and usually comprises the following blocks:

    1. Analysis of the project’s current state and drawing a strategy;
    2. Project implementation;
    3. Contingency fee.
